Senior Management

The board of directors is composed of ten directors. The functions and duties of the board include but are not confined to: convening the shareholders’ conference and reporting the work of the board to the conference; implementing the decision made on the conference; deciding on the operation plan and investment program; making annual financial budget program and actual budget; making interest distribution plan and loss remedy plan; making registered capital increasing and reducing plan and carrying out other powers, functions and duties set forth by the corporate constitution.

The board of supervisors is composed of eight supervisors. The functions and duties of the board of supervisors include but are not confined to: examining and checking the financial report, business report and interest distribution program designed by the board of directors, and if questions are found, registered accountants and professional auditors are entrusted with reviewing the corporate financial documents; supervising the corporate financial activities; monitoring the performance of directors, president and other senior management personnel and checking whether they violate the laws, regulations, rules, or shareholders’ conference resolutions in duty performance; requiring the directors, president or other senior management personnel to correct any behaviors detrimental to the corporate interests and perform other functions, duties and powers granted to them by the corporate constitutions.
